Service Point Solutions, S.A. : le Conseil d'Administration de Service Point approuve l'?mission d'actions gratuites avec une parit? d'une pour trente

-Le Conseil de SPS réalisera l'émission d'actions gratuites d'un montant de 2,1 millions d'euros qui a été approuvée par les actionnaires de SPS le 28 juin 2007.


- L'augmentation consistera en l'émission d'une action nouvelle pour trente actions actuellement en circulation.

- La période d'attribution gratuite débutera le 8 février 2008 et se terminera le 22 février 2008 (dates incluses).

- Les actionnaires de la société qui sont enregistrés avec Iberclear pourront bénéficier de cette période d'attribution le 7 février 2008 après Bourse.

Barcelona, 6 February 2008 - SPS is to execute the E2,114,112.20 scrip issue on the terms agreed at the General Shareholders' Meeting last 28 June 2007. Specifically, the company will issue 3,523,537 new shares with a nominal value of E0.6 each; these shares will carry identical rights and features as those currently outstanding.

The scrip issue will consist of 1 new share for every 30 shares currently outstanding. The free allocation period will run from 8 to 22 February 2008, both inclusive. All shareholders registered as such with Iberclear at market close on 7 February, 2008, including the shares issued pursuant to the SPS 2005 convertible bonds, will be entitled to the allocation of said rights free of charge. All freely allocated preemptive rights shall be tradable on the Madrid and Barcelona stock exchanges.

A scrip issue consists of remunerating shareholders by allocating them with new shares free of charge. The issue has no impact on equity so long as the right to receive the new shares does not carry any charge and no economic compensation is required of the shareholder. The purpose of this initiative is to remunerate the company's shareholders, who can elect between immediate compensation by selling their freely assigned preemptive rights or by increasing their position in the company by exercising said rights.
